comtexto provides its services exclusively on the basis of these General Terms and Conditions. comtexto is authorised to amend or supplement these General Terms and Conditions at any time.<\/p>

Unless otherwise agreed in writing between the parties in an individual contract, the following General Terms and Conditions shall be the subject of the contract:<\/p>

Quotations<\/strong>
Quotations are made based on the information provided by the client. Quotations therefore contain indicative prices for the volume known at the time of issuing the quotation. The final price may differ from the indicative price by up to 15%.<\/p>

Placing an order<\/strong>
An order is confirmed by an explicit order confirmation. This may be given informally. Ancillary agreements must be made in writing.<\/p>

Withdrawal from the contract by the client<\/strong>
If the client withdraws from the contract before the order have been completed, the client shall be liable to pay for the costs incurred up to that point.<\/p>

Delivery dates<\/strong>
The delivery date is either specified in the quotation or agreed in writing between the parties when the order is placed. If an order is particularly urgent, an express surcharge may be agreed with the client before the order is placed.<\/p>

Scope of services<\/strong>
comtexto undertakes to write, revise, correct or reproduce the client\u2019s texts in the desired language in an appropriate and professional manner.<\/p>

comtexto guarantees that translations will be produced literally or faithfully without abridgements, additions or other changes to the content. Translation quality is based on the generally recognised standards of the translation industry.<\/p>

The client\u2019s individual specialised terminology will only be taken into account by prior agreement subject to the receipt of detailed documentation, such as pre-translations or lists of terms. Otherwise, specialised terms will be translated or used in accordance with the generally accepted quality standards.<\/p>

comtexto will adapt its services to the client\u2019s individual requirements provided that such requirements have been clearly and unambiguously agreed upon in advance.<\/p>

Standard proofreading and <\/span>editing services<\/span> require the content to be reviewed to be professional and of a high standard in terms of language, structure and subject matter.<\/span><\/p>

If content <\/span>(<\/span>such as source texts, translations or other source materials<\/span>) <\/span>has been created using AI tools, this must be disclosed prior to <\/span>requesting a quotation<\/span>or <\/span>placing an order.<\/span>If no such notification is provided, <\/span>any resulting additional<\/span> costs will be invoiced.<\/span><\/p>

Rectification<\/strong>
Written complaints will be considered up to seven days after delivery of a text, after which time the service shall be deemed to have been accepted. Complaints about individual texts supplied or about partial deliveries do not entitle the client to contest the entire delivery.<\/p>

If the service provided differs from the agreed scope from the point of view of the client, they are obliged to report this to comtexto in writing, setting a reasonable deadline for rectification.<\/p>

Text editing or translation by third parties releases comtexto from any liability.<\/p>

In justified cases, rectifications will be carried out free of charge.<\/p>

There shall be no right to rectification if discrepancies are due to circumstances caused by the client, such as incorrect or incomplete information or erroneous original texts.<\/p>

Remuneration<\/strong>
comtexto will invoice the client for its services at the agreed price or in line with the agreed minimum order fees and conditions, plus the applicable statutory value added tax.<\/p>

Translations are charged by the line. The number of lines is determined in the target language of the translation and can only be bindingly established after completion of the translation. A line consists of 52 characters including spaces. The number of lines is calculated with the help of a counting programme.<\/p>

For translation assignments of fewer than twenty lines per language a minimum fee per language will be charged according to the price list.<\/p>

Subsequent requests for changes which are not due to an error on the part of comtexto will be invoiced separately.<\/p>

Copywriting, proofreading, editing etc. are billed on the basis of the actual number of hours worked.<\/p>

Express orders, i.e. orders to be completed within 24 hours, are subject to a price surcharge of 50 to 100% by prior agreement.<\/p>

Weekend and public holiday orders to be processed exclusively over the weekend or on public holidays will be completed accordingly with a reasonable surcharge.<\/p>

Invoicing<\/strong>
The client will be invoiced for services rendered. Payment is due within 30 days net of the invoice date.<\/p>

comtexto only sends invoices by e-mail in PDF format.<\/p>

In the event of late payment, comtexto is entitled to charge interest on arrears of 5% per annum.<\/p>

Liability<\/strong><\/p>

The client guarantees that all the information provided is correct and complete. comtexto accepts no responsibility for errors or ambiguities in the source text provided by the client that could affect the quality of the texts delivered.<\/p>

comtexto shall only be liable for errors that directly affect the object of the order and are attributable to proven intent or gross negligence. In such cases, comtexto shall provide compensation in kind up to a maximum of the order value. Liability in excess of the order value is excluded.<\/p>

The texts supplied by comtexto are not approved for printing. comtexto accepts no liability for errors that are discovered after printing.<\/p>

comtexto accepts no liability for the correctness of the content or the legal conformity of the translated text and excludes the verification of such aspects.<\/p>

comtexto does not guarantee that the texts delivered are authorised and suitable for the intended purpose of the client. This applies in particular if the text supplied is published or used for advertising purposes. The legal risk with regard to the usability or publication of a text lies exclusively with the client.<\/p>

comtexto assumes no liability for service failures or delays due to force majeure or unforeseeable, temporary obstacles to performance for which comtexto is not responsible. This includes in particular the failure of communication networks and gateways of other operators.<\/p>

Third-party rights<\/strong>
The client guarantees that the text to be translated does not infringe any copyrights or other third-party rights. Should a claim nevertheless be made against comtexto for infringement of such rights, the client agrees to indemnify comtexto.<\/p>

Confidentiality<\/strong>
comtexto is committed to maintaining the confidentiality of the texts transmitted in accordance with the current state of the art. However, due to electronic data communication, comtexto cannot guarantee 100% confidentiality.<\/p>

The use of the SSL-protected order portal is recommended to ensure the secure transmission of the documents to be processed.<\/p>

The confidentiality, integrity and availability of documents cannot be fully guaranteed if alternative methods of electronic document transmission are used (e.g. e-mail).<\/p>

comtexto accepts no liability in connection with the unprotected transmission of documents.<\/p>

Data protection<\/strong>
comtexto\u2019s current Data Protection Statement<\/a> applies.<\/p>

Severability clause<\/strong>
If any individual provisions of these General Terms and Conditions should be or become invalid, this shall not affect the validity of the remaining provisions.<\/p>

Place of jurisdiction<\/strong>
All disputes arising from or in connection with these General Terms and Conditions shall be settled by the ordinary courts at the registered office of comtexto.<\/p>

Applicable law<\/strong>
These General Terms and Conditions shall be governed exclusively by Swiss law. The exclusive place of jurisdiction is Zurich, Switzerland.<\/p>

comtexto erbringt ihre Dienstleistungen ausschliesslich auf der Grundlage dieser allgemeinen Gesch\u00e4ftsbedingungen. comtexto ist jederzeit berechtigt, diese allgemeinen Gesch\u00e4ftsbedingungen zu \u00e4ndern oder zu erg\u00e4nzen.<\/p>

Soweit zwischen den Parteien individualvertraglich nichts anderes schriftlich vereinbart ist, werden die folgenden allgemeinen Gesch\u00e4ftsbedingungen Gegenstand des Vertrags:<\/p>

Offerte<\/strong>
Offerten werden auf der Grundlage der von der\/dem Auftraggebenden zur Verf\u00fcgung gestellten Informationen gestellt. Somit enthalten Offerten Richtpreise f\u00fcr das Volumen, das zum Zeitpunkt der Offertstellung bekannt war. Der Endpreis kann bis zu 15\u00a0% vom Richtpreis abweichen.<\/p>

Auftragserteilung<\/strong>
Der Auftrag kommt durch eine ausdr\u00fcckliche Auftragsbest\u00e4tigung zustande. Diese kann formlos erfolgen. Nebenabreden bed\u00fcrfen der Schriftform.<\/p>

R\u00fccktritt der\/des Auftraggebenden vom Auftrag<\/strong>
Tritt die\/der Auftraggebende vom Auftrag zur\u00fcck, bevor der Auftrag ausgeliefert wurde, entsteht f\u00fcr die\/den Auftraggebende\/n eine Zahlungsverpflichtung in H\u00f6he des bis dahin entstandenen Aufwands.<\/p>

Liefertermine<\/strong>
Der Liefertermin wird entweder in der Offerte festgehalten oder bei der Auftragserteilung schriftlich zwischen den Parteien fixiert. Bei besonders dringenden Auftr\u00e4gen kann vor der Auftragserteilung mit der\/dem Auftraggebenden ein Expresszuschlag vereinbart werden.<\/p>

Leistungsumfang<\/strong>
comtexto verpflichtet sich, die Texte der\/des Auftraggebenden in der gew\u00fcnschten Sprache sach- und fachgerecht zu verfassen, zu \u00fcberarbeiten, zu korrigieren oder wiederzugeben.<\/p>

comtexto gew\u00e4hrleistet, dass die \u00dcbersetzungen w\u00f6rtlich oder sinngem\u00e4ss ohne K\u00fcrzungen, Zus\u00e4tze oder sonstige inhaltliche Ver\u00e4nderungen umgesetzt werden. Die Qualit\u00e4t der \u00dcbersetzungen orientiert sich an den allgemeing\u00fcltigen Standards der \u00dcbersetzungsbranche.<\/p>

Die Ber\u00fccksichtigung individueller spezifischer Fachterminologie des Auftraggebers erfolgt nur nach vorheriger Vereinbarung und setzt die Bereitstellung vollst\u00e4ndiger Unterlagen, wie Vor\u00fcbersetzungen oder Wortlisten, voraus. Andernfalls werden Fachausdr\u00fccke gem\u00e4ss den allgemeinen Qualit\u00e4tsstandards \u00fcbersetzt bzw. verwendet.<\/p>

comtexto passt sich an individuelle Anforderungen der\/des Auftraggebenden an, sofern diese im Voraus klar und eindeutig vereinbart wurden.<\/p>

Standardkorrektorats- und <\/span>Lektoratleistungen<\/span> setzen voraus, dass die zu pr\u00fcfenden Inhalte sprachlich, strukturell und thematisch professionell sowie in guter Qualit\u00e4t vorliegen.<\/span><\/p>

Wurden Inhalte <\/span>(<\/span>etwa Ausgangstexte, \u00dcbersetzungen oder andere Textgrundlagen<\/span>) <\/span>mit Hilfe von KI-Tools erstellt, ist dies vor der <\/span>Offertanfrage<\/span> bzw. <\/span>Auftragsvergabe offenzulegen.<\/span> Erfolgt keine entsprechende Mitteilung, <\/span>wird<\/span> ein entstehender Mehraufwand in Rechnung gestellt.<\/span><\/p>

Nachbesserung<\/strong>
Schriftliche Beanstandungen werden bis sieben Tage nach Ablieferung der Texte entgegengenommen, danach gilt die Leistung als akzeptiert. Beanstandungen an einzelnen Texten einer Lieferung oder an Teillieferungen berechtigen nicht zur Beanstandung der gesamten Lieferung.<\/p>

Sollte die Leistung aus Sicht der\/des Auftraggebenden vom vereinbarten Umfang abweichen, ist sie\/er verpflichtet, dies durch eine schriftliche Mitteilung an comtexto zu melden und dabei eine angemessene Frist f\u00fcr die Nachbesserung zu setzen.<\/p>

Eine Textbearbeitung oder eine \u00dcbersetzung durch den Auftraggebenden oder durch Dritte entbindet comtexto von jeglicher Haftung.<\/p>

In begr\u00fcndeten F\u00e4llen erfolgt die Nachbesserung kostenlos.<\/p>

Eine Nachbesserung ist ausgeschlossen, wenn die Abweichungen auf von der\/dem Auftraggebenden verursachte Umst\u00e4nde zur\u00fcckzuf\u00fchren sind, wie etwa unrichtige oder unvollst\u00e4ndige Informationen oder fehlerhafte Originaltexte.<\/p>

Verg\u00fctung<\/strong>
comtexto stellt der\/dem Auftraggebenden die Leistungen zum vereinbarten Preis bzw. zu den vereinbarten Mindestauftragsgeb\u00fchren und Konditionen zzgl. der jeweils g\u00fcltigen gesetzlichen Mehrwertsteuer in Rechnung.<\/p>

\u00dcbersetzungen werden nach Zeilen abgerechnet. Die Zeilenzahl wird in der Zielsprache der \u00dcbersetzung ermittelt und kann erst verbindlich nach Fertigstellung der \u00dcbersetzung festgestellt werden. Eine Zeile besteht aus 52 Anschl\u00e4gen einschliesslich Leerzeichen. Die Ermittlung der Zeilenzahl erfolgt mithilfe eines Z\u00e4hlprogramms.<\/p>

F\u00fcr \u00dcbersetzungsauftr\u00e4ge unter zwanzig Zeilen pro Sprache wird pro Sprache ein Mindesthonorar laut Preisliste berechnet.<\/p>

Nachtr\u00e4gliche \u00c4nderungsw\u00fcnsche, die nicht auf einen Fehler von comtexto zur\u00fcckzuf\u00fchren sind, werden gesondert abgerechnet.<\/p>

Redaktion, Korrektorate, Lektorate, usw. werden nach tats\u00e4chlich aufgewendeten Stunden abgerechnet.<\/p>

F\u00fcr Expressauftr\u00e4ge, d.\u00a0h. Auftr\u00e4ge, die innerhalb von 24 Stunden umzusetzen sind, wird nach Absprache ein Preiszuschlag von 50 bis 100\u00a0% erhoben.<\/p>

Wochenend- und Feiertagsauftr\u00e4ge, deren Bearbeitung ausschliesslich \u00fcber das Wochenende bzw. \u00fcber Feiertage erfolgt, werden entsprechend gegen angemessenen Aufschlag umgesetzt.<\/p>

Rechnungsstellung<\/strong>
F\u00fcr erbrachte Leistungen wird der\/dem Auftraggebenden eine Rechnung gestellt. Die Zahlung wird innert 30 Tagen, netto ab Rechnungsdatum, f\u00e4llig.<\/p>

comtexto versendet Rechnungen ausschliesslich per E-Mail im PDF-Format.<\/p>

Bei Zahlungsverzug ist comtexto berechtigt, einen Verzugszins von 5\u00a0% pro Jahr zu verlangen.<\/p>

Haftung<\/strong><\/p>

Die\/der Auftraggebende garantiert, dass alle bereitgestellten Informationen korrekt und vollst\u00e4ndig sind. comtexto \u00fcbernimmt keine Verantwortung f\u00fcr Fehler oder Unklarheiten im von der\/vom Auftraggebenden gelieferten Ausgangstext, die sich auf die Qualit\u00e4t der gelieferten Texte auswirken k\u00f6nnten.<\/p>

comtexto haftet ausschliesslich f\u00fcr Fehler, die unmittelbar den Auftragsgegenstand betreffen und auf nachgewiesenem Vorsatz oder grober Fahrl\u00e4ssigkeit beruhen. In solchen F\u00e4llen leistet comtexto Realersatz bis maximal zur H\u00f6he des Auftragswerts. Eine Haftung \u00fcber den Auftragswert hinaus ist ausgeschlossen.<\/p>

Die von comtexto gelieferten Texte sind nicht f\u00fcr den Druck freigegeben. comtexto \u00fcbernimmt keine Haftung f\u00fcr Fehler, die nach dem Druck entdeckt werden.<\/p>

comtexto \u00fcbernimmt keine Haftung f\u00fcr die inhaltliche Richtigkeit oder die rechtliche Konformit\u00e4t des \u00fcbersetzten Textes und schliesst die Pr\u00fcfung solcher Aspekte aus.<\/p>

comtexto leistet keine Gew\u00e4hr daf\u00fcr, dass die gelieferten Texte f\u00fcr den Verwendungszweck der\/des Auftraggebenden zul\u00e4ssig und geeignet sind. Dies gilt insbesondere, wenn der gelieferte Text ver\u00f6ffentlicht oder f\u00fcr Werbezwecke verwendet wird. Das rechtliche Risiko hinsichtlich der Verwendungsf\u00e4higkeit oder der Ver\u00f6ffentlichung liegt ausschliesslich bei der\/beim Auftraggebenden.<\/p>

comtexto \u00fcbernimmt keine Haftung f\u00fcr Leistungsausf\u00e4lle oder -verz\u00f6gerungen, die auf h\u00f6here Gewalt oder unvorhersehbare, vor\u00fcbergehende Leistungshindernisse zur\u00fcckzuf\u00fchren sind, die nicht von comtexto zu vertreten sind. Dies schliesst insbesondere den Ausfall von Kommunikationsnetzen und Gateways anderer Betreiber ein.<\/p>

Rechte Dritter<\/strong>
Die\/der Auftraggebende garantiert, dass der zu \u00fcbersetzende Text keine Urheberrechte oder andere Rechte Dritter verletzt. Sollte comtexto dennoch wegen Verletzung solcher Rechte belangt werden, wird die\/der Auftraggebende comtexto schadlos halten.<\/p>

Geheimhaltung<\/strong>
comtexto setzt sich daf\u00fcr ein, die Vertraulichkeit der \u00fcbermittelten Texte gem\u00e4ss dem aktuellen Stand der Technik zu wahren. Aufgrund der elektronischen Datenkommunikation kann comtexto jedoch keine hundertprozentige Vertraulichkeit gew\u00e4hrleisten.<\/p>

Zur sicheren \u00dcbermittlung von zu bearbeitenden Dokumenten wird die Nutzung des SSL-gesch\u00fctzten Auftragsportals empfohlen.<\/p>

Bei alternativen Wegen zur elektronischen Dokumenten\u00fcbermittlung (z. B. E-Mail) k\u00f6nnen die Vertraulichkeit, die Integrit\u00e4t und die Verf\u00fcgbarkeit der Dokumente nicht vollst\u00e4ndig gew\u00e4hrleistet werden.<\/p>

comtexto \u00fcbernimmt keine Haftung im Zusammenhang mit der ungesch\u00fctzten \u00dcbermittlung von Dokumenten.<\/p>

Datenschutz<\/strong>
Es gilt die aktuelle Datenschutzerkl\u00e4rung<\/a> von comtexto.<\/p>

Salvatorische Klausel<\/strong>
Sollten einzelne Bestimmungen dieser allgemeinen Gesch\u00e4ftsbedingungen unwirksam sein oder werden, wird hierdurch die Wirksamkeit der \u00fcbrigen Bestimmungen nicht ber\u00fchrt.<\/p>

Gerichtsstand<\/strong>
Alle sich aus oder im Zusammenhang mit den vorliegenden allgemeinen Gesch\u00e4ftsbedingungen ergebenden Streitigkeiten werden durch die ordentlichen Gerichte am Gesch\u00e4ftssitz von comtexto entschieden.<\/p>

Anwendbares Recht<\/strong>
Auf die vorliegenden allgemeinen Gesch\u00e4ftsbedingungen ist ausschliesslich schweizerisches Recht anwendbar. Ausschliesslicher Gerichtsstand ist Z\u00fcrich, Schweiz.<\/p>
